Geriatric Emergency Department Collaborative (GEDC) Website & Materials Terms of Use

This Terms of Use Agreement (the “Agreement”) describes the terms and conditions that govern the relationship between the Geriatric Emergency Department Collaborative  (“we”, “us”, or “GEDC”) and you, as the registrant and/or user, in regards to your use of www.gedcollaborative.com (the “Website”) and our GEDC products, tools, and services, including all viewable and discoverable content therein (including without limitation all data, text, images, audio, video, or code) (collectively, the Materials”). This Agreement, along with our Privacy Policy, is the only agreement between us and you and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Website and the Materials. The Privacy Policy is incorporated by reference into this Agreement, and your agreement to be bound by this Agreement means you are also bound by the Privacy Policy. In the event of a conflict between this Agreement and any agreement entered into between GEDC and a GEDC-subscribed institution (“Institution Agreement”), the Institution Agreement shall control.

By registering for, logging into, or using the GEDC website, you agree to this Agreement. From time to time, we may update, modify, or correct this Agreement. The most recent modification date can be found at the end of this Agreement, and we encourage you to review these terms periodically. Your continued use of the Website and Materials following changes to this Agreement constitutes your acceptance of our amended terms.

Purpose of GEDC Materials

The Materials on the Website are provided for informational purposes only. The Website and Materials aim to provide general information and recommendations about the topics they present. They are not intended to make statements concerning the official policies and practices of GEDC or other institutions or organizations, unless stated otherwise.

Access to the GEDC Website

Whether you are visiting the Website as an individual or registering/logging into the Website with an institutional user account, you warrant that the information provided is true and correct. If you are accessing the Website through an institutional user account, you must be authorized to use our system and services through an institution or organization with a valid and current GEDC subscription.

By visiting, registering, or logging into the Website, you agree that:

  • You will not provide any false personal information, or create an account for anyone other than yourself without permission.
  • You will not create more than one account, and if we disable your account, you will not create a new one without our permission.
  • You will not share your password, let anyone else use your account, or do anything that might jeopardize the security of your account.
  • Your right to use the Website is not transferable or assignable. Any password or right given to you to obtain information is not transferable or assignable.

Right to Collect Usage Data and Share with Your Subscribing Institution

GEDC collects certain data on your use of the Website and the Materials. You agree that GEDC is entitled to collect such information and that it may share this data with your subscribing institution at that institution’s request. However, except as indicated in the preceding sentence and in our Privacy Policy, GEDC will not share any personally identifiable data on your usage with third parties. Appropriate Use of the GEDC Website and Materials

Your access to the Website and Materials is contingent on using them appropriately. You may not use the Website or Materials for any purpose other than co-management education and implementation, development, or improvement of your institution’s health care services.

The Website and Materials are owned by GEDC and its licensors and are protected by copyright and other intellectual property laws. A limited, revocable, conditional, non-transferable, non-sublicensable license is granted to you to view this Website and use the Materials as described in this Agreement. You may not copy, display, reproduce, retransmit, store, distribute, disseminate, modify, publish, broadcast, circulate, create derivative works from, or sell or license any part of the Materials from this Website in any medium to anyone, including but not limited to others in the same company or organization, without the express prior written permission of GEDC, except as otherwise expressly permitted under applicable law or as described in this Agreement or relevant license or subscriber agreement.

You may print or download the Materials from the Website for your own personal use. We expressly reserve all other rights, including non-commercial use, provided that you keep intact all copyright and other proprietary notices. You may not engage in systematic retrieval of the Materials from the Website to create or compile, directly or indirectly, a collection, compilation, database, or directory without the express prior written permission of GEDC.  You may not sell, write, modify, redistribute, or otherwise use the Materials for any commercial purpose without prior written permission from GEDC. You may not, without the approval of GEDC, use the Website to publish or distribute any advertising, promotional material, or solicitation to other users of the Website. Similarly, you may not use the Website to download and redistribute public information or shareware for personal gain or use the Website to distribute multiple copies of public domain information or shareware.

The use of robots, spiders, crawlers, or other automated downloading programs or devices for any purpose, including but not limited to harvesting others postal or email addresses from the Website to send unsolicited or unauthorized commercial material, is prohibited.

You agree that any material breach of this Section or this Agreement may result in irreparable harm to GEDC for which damages alone would be an inadequate remedy. Therefore, in addition to its rights and remedies otherwise available at law, GEDC shall be entitled to equitable relief, including both a preliminary and permanent injunction, if such a breach occurs.

All questions about whether a particular use is authorized and all requests for permission to publish, reproduce, distribute, display, or make derivative works from the Materials of the Website should be sent to laura.stabler@med.unc.edu.

Indemnification

You agree to release, defend, discharge, indemnify, and hold harmless GEDC, its officers, directors, members, employees, staff, volunteers, representatives, independent contractors or affiliates, (“Representatives”) from and against any and all claims, demands, or suits, arising out of or relating to your use of the Website or the Materials. Neither GEDC, nor its Representatives, shall have any liability relating to or resulting from the use of the Website and the Materials or any error or omission therein. The Website and the Materials are provided by GEDC on an advisory basis and shall in no way create a relationship with, or duty to, any customer, client, patient, beneficiary, or other recipient of services of you or your staff.

Disclaimer

The Materials on the Website relate to services for older adults, their caregivers, and healthcare providers involved in the care of older adults. As a reminder, the Materials are for informational purposes only and are not a substitute for medical advice or treatment. THE WEBSITE DOES NOT PROVIDE MEDICAL ADVICE.

The Materials include topics that are continually updated, enhanced, and evolving. A considerable effort has been made in good faith to ensure that the Materials on the Website are accurate. Despite this effort, it is clear that the evolution of practice standards and/or other inaccuracies are inevitable. Consequently, no guarantees are expressed or implied as to the accuracy, timeliness, currency or completeness of any information authored by persons at or agents of GEDC, or accessible using links from this Website. Nor is any warranty made that the Materials or information obtained from this Website or that of an affiliate is valuable or useful for any purpose. Interruptions, delays, or other technical issues, regardless of the nature or cause, shall not be considered a breach of this Agreement. ALL INFORMATION, MATERIALS, SYSTEMS, PRODUCTS, AND SERVICES PROVIDED BY GEDC ARE ON AN “AS IS” OR “AS AVAILABLE” BASIS, WITHOUT EXPRESS, IMPLIED, OR STATUTORY WARRANTIES OF ANY KIND, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Further, we are not responsible for the acts or omissions of any third parties. You release us and our Representatives from any claim or damages arising out of, or in any way connected with, any claim you have against such third parties.

Copyright Infringement

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide us with the following information:

  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  • A description of the copyright work that you claim has been infringed;
  • A description of where the infringing material is located on the Website;
  • Your address, telephone number, and email address;
  • A statement by you that you have a good faith belief that the alleged infringing use is not authorized by the copyright owner, its agent, or the law; and
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

Third party content may appear on the Website and the Materials or may be accessible via links from the Website.  We are not responsible for and assume no liability for any mistakes, misstatements of law, defamation, omissions, falsehood, obscenity, pornography or profanity in the statements, opinions, representations or any other form of content on the Website or the Materials.  You understand that the information and opinions in the third-party content represent solely the thoughts of the author and is neither endorsed by nor does it necessarily reflect our belief.

Right to Control Access

GEDC reserves the right, in its sole discretion, to deny or otherwise restrict your access if we have reason to believe you are violating any provision of this Agreement, or otherwise acting in an inappropriate manner with respect to the Website and the Materials.

Legal Compliance

You agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the Website and the Materials provided therein.

Governing Law and Jurisdiction

This Agreement shall be governed by the laws of the State of North Carolina without regard to conflicts or choice of law rules or principles.  Any action to enforce the terms of this Agreement shall be filed in the State or Federal Courts located in North Carolina, only.
